1.Acceptance of Terms

These terms of service, together with any other agreements or terms incorporated by reference, including the Privacy Policy available at Privacy Policy and, where applicable, the Data Processing Agreement available at Data Processing Agreement (collectively, the "Terms") govern your use of the Services. To the extent Company processes personal data on your behalf, such processing shall be governed by the Data Processing Agreement. These Terms constitute a binding and enforceable legal contract between Company and You. By accepting these Terms electronically by clicking a box indicating your acceptance, or by using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or an other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms, in which case the term "You" will refer to such entity and its affiliates. If the legal entity that you represent does not agree with these Terms, you must not accept these Terms or use the Services.

2.Definitions

2.1."Account" means your account with a supported identity provider through which You authenticate to access the Services.

2.2."Connected Account" means any Third Party Service account, workspace, application, or system that You connect, authorize, or make accessible for interoperation and integration with the Services (including via credentials, tokens, OAuth authorizations, API keys, plugins, connectors, browser sessions, or similar mechanisms).

2.3."Content" means the subset of User Data consisting of files, data, material and information submitted, uploaded, transmitted, made available, accessed, or processed by You (or on Your behalf) through the Service, including prompts, instructions, inputs, outputs, and materials accessed through Connected Accounts.

2.4."Platform" means Company's solution providing an AI browsing and action agent that can navigate websites and interact with Third Party Services, including through operation in your local device and integration with Connected Accounts.

2.5."Services" means any applications, products, services, documentation, and software made available through the Platform.

2.6."Third Party Services" means any service, products, software, website, application, model, API, or system that is provided by a third party and interoperates with a Service, including third party AI providers and any services accessible through Connected Accounts. Such Third Party Services may be offered via a dedicated website.

2.7."User Model" means any artificial intelligence model, API, inference service, or external AI system selected, configured, or provided by You or by the Company to operate, power, or be used in connection with the Services.

2.8."User Data" means all data relating to Your use of the Platform and Services, including Content (as defined below) and data relating to how You use the Services (including in conjunction with Connected Accounts), such as:

2.8.1Your contact information and any identifiers associated with your authentication via third party accounts (such as account IDs or tokens provided to Company as part of the authentication process, to the extent applicable);

2.8.2Your Connected Accounts (including metadata about connections and authorizations), statistical data, device generated reports and audit logs;

2.8.3settings, preferences chosen, and resource usage;

2.8.4free text submitted by You, prompts, instructions, outputs, agent execution traces, and screen recording sessions, screenshots, and other visual captures of the user interface during your use of the Services, including content displayed or accessed by the agent while performing tasks;

2.8.5technical logs and telemetry regarding agent actions, clicks, navigation steps, commands, tool calls, errors, and performance.

2.9."We", "Us", "Company" or "Our" for Customers whose principal place of business is located in the United States of America, Accomplish AI, Inc. For Customers whose principal place of business is located outside the United States of America, Accomplish Ltd.

2.10."You" or "Customer" means the company or other legal entity and its affiliates for which you are accepting these Terms, or if you are accepting these Terms as an individual, You as an individual.

3.The Services

Registration. Following authentication through an Account, you will have the ability to access the Platform and use the Services in conjunction with Connected Accounts solely for the purpose of your business activity or internal use. We may update the Services from time to time, including adding or removing functions, modifying capabilities, imposing usage limits, or discontinuing features.

Charges. Using the Services is currently made available to you free of charge. Company may, at its discretion, introduce fees for certain features or service levels in the future by updating these Terms and/or providing additional terms at the time such paid features are made available. You are not obligated to purchase any paid features, and if You do not agree to updated terms applicable to paid features, You may stop using the Services.

Experimental Services. The Services are provided in an early stage and may be described or treated as beta, experimental, evaluation, preview, or development offerings. The Services may contain errors, defects, bugs, security vulnerabilities, and interruptions, and may generate inaccurate, incomplete, or unintended results. You are responsible for evaluating the Services and determining whether they are suitable for Your use.

4.Registration and User Account

Authentication via Third Party Account. You must authenticate using an Account in order to use our Services. Connected Accounts may require registration, installation of necessary software, granting of permissions, or other actions on your part, to enable the activation of Services in relation to such Connected Accounts.

Third Party Authentication and Terms. You acknowledge that your use of an Account and any Third Party Services is governed by your agreement with the applicable third party provider. You represent that you are entitled to authenticate using such Account and to grant Company access and authorizations as needed to provide the Services, without breach of any agreement with such provider and without obligating Company to pay any fees to such provider. Company is not responsible for Third Party Services, including any suspension, termination, limitation, or modification of your Account by a third party.

Account Security and Permissions. You are solely and fully responsible for maintaining the confidentiality and security of your Account credentials and for all activities that occur through your Account and Connected Accounts. You must supervise the use of the Services and any Connected Accounts. You are solely responsible for the scope of permissions, credentials, tokens, API keys, and authorizations you grant to the Services and for limiting such permissions to what You intend. You must notify us immediately of any unauthorized use or security breach relating to your Account or Connected Accounts.

Administrator and Users. If You are an entity, when you initially register for and use the Services, you are, or a party that you authorize is, the administrator ("Administrator"). Administrators may authorize additional individuals to access the Services through the same Account or Connected Accounts ("Users"). Users may include, for example, your employees, contractors and agents. These Terms apply to any User of the Services, and You are responsible for Users’ compliance.

Access Rights. The Administrator is responsible for Users’ access to the Services. Depending on the types of access rights the Administrator grants to Users, Users may be able to connect or remove Connected Accounts, delete, copy, transmit, or view Content and data accessible through Connected Accounts, and run agent workflows. The Administrator is solely responsible for the access to the Services granted to Users and it is the Administrator’s sole responsibility to add or remove access rights to Users. We are not responsible for the internal management or administration of the Services. A violation of any provision of these Terms by a User may result in the termination of an Administrator’s or any User’s access to the Services. Company may from time to time send you communications, unless you have opted not to receive them.

Deletion of Access. You may stop using the Services at any time. Because access is provided through a third party Account, deletion of access may require disconnecting Connected Accounts and/or ceasing authentication. Any Content and other information and data entered into the Services may be permanently deleted if you stop using the Services or if Company discontinues or terminates access, subject to the Privacy Policy and applicable law.

User Model. The Services may enable You to use a User Model to operate or enhance the Services. You are solely responsible for selecting, configuring, and maintaining any User Model, for complying with the terms of the User Model provider, and for all costs, usage fees, or charges imposed by the User Model provider. Company does not control and is not responsible for the performance, accuracy, legality, or behavior of any User Model.

5.Content, Data and User Obligations

License to Content. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, use, and display your Content as required in order to provide You with the Services, to maintain and secure the Services, and to improve the Services. Subject to this limited license, we do not acquire any ownership right in your Content and You or your licensors retain all rights and ownership to your Content. You warrant that You have full rights to provide to us any Content that You provide through the Services and to authorize the Services to access Content through Connected Accounts.

Use of Data.

Subject to the Privacy Policy and the DPA as applicable:

Company may collect User Data, and You hereby grant Company permission to collect User Data available on the Platform and to use such User Data to improve the Platform performance and functionality and improve services and support to Company customers and for other business purposes including monitoring, statistical data gathering, diagnostics, comparative analyses, product and feature utilization, complementary solutions usage, security and software integrity assurance, remote control and support and click performance tracking.

Without limiting the foregoing, You acknowledge and agree that Company may record and retain screenshots and/or screen recordings of your use of the Services, including the content of prompts, instructions, outputs, and the actions performed by the agent and Content displayed or accessed during such actions, and may use such data to develop, train, retrain, fine tune, and improve Company’s models, algorithms, and Services, in accordance with the Privacy Policy and applicable law.

Company may further use User Data (i) to respond to duly authorized information requests of police, law enforcement, or other governmental authorities; (ii) to comply with any applicable law, regulation, subpoena, discovery request or court order; (iii) to investigate and help prevent security threats, fraud, or other illegal, malicious, or inappropriate activity; (iv) to enforce/protect the rights and properties of Company or its affiliates or subsidiaries; or (v) with the prior informed consent of the data subject about whom the personally identifiable information pertains.

Responsibility for Content. The Services are not intended to be used as storage, backup or archiving services. It is your responsibility to back up your Content and you are responsible for any lost or unrecoverable Content.

Autonomous Agent Actions and Sensitive Content. The Services may perform actions in Third Party Services and Connected Accounts based on your prompts, configurations, permissions, and instructions. You are solely responsible for: (i) reviewing and validating prompts and instructions before submission; (ii) supervising and monitoring agent actions; (iii) restricting and controlling the data and systems you make accessible to the Services; and (iv) verifying outputs and results before relying on them. You are solely responsible for ensuring the Services do not perform unintended or undesirable actions, and Company shall not be liable for such actions to the maximum extent permitted by law.

Testing and Safeguards. You agree to test the Services in a controlled environment before using them in production environments or with sensitive systems or data. If you attempt to bypass, override, disable, stress test, or circumvent any safeguards, guardrails, warnings, limitations, or restrictions built into the Services, you do so entirely at your own risk and Company shall have no liability arising from or related to such conduct to the maximum extent permitted by law.

Authorization to Act. You authorize the Services to take actions in Third Party Services, Connected Accounts, and websites that You direct or permit, including submitting information, clicking buttons, navigating pages, retrieving or transmitting data, and interacting with website elements, using the permissions and access You provide. You represent and warrant that You have the legal right and authority to grant such access and to instruct the Services to perform such actions.

Transactions and Binding Commitments. If the Services are used to initiate transactions or binding commitments, You are solely responsible for reviewing and confirming such actions. Company is not liable for any transaction, charge, commitment, loss, or obligation initiated through the Services.

6.Other Products and Services

We may allow you to integrate your use of the Services with Third Party Services, including through Connected Accounts and/or User Models. We will not be responsible for any act or omission of the third party that provides the Third Party Services, including the third party's access to or use of Content, and we do not warrant or support any Third Party Services. Company does not endorse and is not responsible for third party content, policies, terms, or practices. Your interactions with Third Party Services are solely between You and the third party.

7.Fees and Payment

The Services are currently provided to You free of charge. If Company introduces paid features or service levels in the future, Company may require You to agree to additional terms and/or updated Terms as a condition of using such paid features. If You do not agree, You may continue using the free Services (if offered) or stop using the Services.

8.Use Obligations and Restrictions

Obligations. You agree to do each of the following in connection with your use of the Services: (i) comply with all applicable laws, rules and regulations, including those regarding data privacy, intellectual property rights and export control; (ii) use reasonable security precautions for providing access to the Services by your Users and for any Connected Accounts; (iii) maintain appropriate internal controls and human oversight over use of the Services; (iv) ensure that you have all rights, permissions, and authorizations required for any data, systems, or Third Party Services you enable the agent to access; (v) ensure that your use of the Services, including requesting, extracting, reproducing, summarizing, or distributing content accessed through browsing activities, complies with applicable law and all applicable terms of Third Party Services and websites, including intellectual property laws and database rights; and (vi) not provide the Services with passwords (other than through supported secure authentication flows), private keys, seed phrases, or other sensitive credentials, and shall not input or expose highly sensitive secrets in prompts or free text fields unless explicitly supported by Company. You are solely responsible for securing credentials and for any exposure resulting from your configuration or inputs.

Restrictions. You must not misuse the Services. For example, you may not, whether by yourself or anyone on your behalf: (a) sell, resell, or lease the Services or access or attempt to access the Services by any means other than the interface we provided or authorized; (b) circumvent any access or use restrictions put into place to prevent certain uses of the Services, including attempting to bypass, override, disable, stress test, or circumvent safeguards, guardrails, warnings, limitations, or restrictions; (c) use the Services to store, share or transmit content which is unlawful, infringing, harmful or which violates any person’s rights, including privacy rights and intellectual property rights; (d) attempt to disable, impair, or destroy the Services, or Platform; (e) reverse engineer or decompile the Services, attempt to do so, or assist anyone in doing so; (f) use the Services to access, scrape, extract, collect, or transmit data from any system where You lack authorization, or in violation of any applicable terms, robots exclusions, technical restrictions, or law; (g) use the Services for mission critical, safety critical, medical, legal, financial, or other high risk activities where errors could lead to harm, loss, or damage, including decisions about medical care, legal compliance, or financial transactions, except at your own risk with independent verification; (h) use the Services in a manner that violates the terms, policies, acceptable use rules, or technical restrictions (including robots exclusions) of any website or Third Party Service; (i) attempt to bypass paywalls, CAPTCHAs, anti-bot mechanisms, authentication systems, rate limits, access controls, or other technical protection measures, or instruct the Services to do so; and (j) use the Services for high volume scraping, crawling, harvesting, or automated data extraction except where You have authorization and such activity complies with applicable law and the applicable website or service terms.

No Duty to Monitor; Suspension Rights. Company has no obligation to monitor Content, prompts, agent actions, browsing activity, or outputs for compliance with these Terms or for unlawful, harmful, or inappropriate activity. Company may, but is not required to, monitor or review usage. Company may suspend, limit, or terminate access to the Services at any time if Company reasonably believes that Your use may violate these Terms, applicable law, third party rights, or may create risk, harm, or liability for Company, other users, or third parties.

9.Intellectual Property Rights

Retention of Rights. All rights not expressly granted to You under these Terms are reserved by Company and its licensors. We and our licensors reserve all rights, title and interest to the Services, the Platform and any of their related intellectual property rights. The Terms do not convey to You an interest in or to Company’s intellectual property rights. Nothing in the Terms constitutes a waiver of Company’s intellectual property rights under any law.

Feedback. To the extent You provide us any feedback, comments or suggestions ("Feedback"), you grant us a royalty-free, fully paid up, worldwide, perpetual and irrevocable license to incorporate the Feedback into the Services or any of our current or future products or services.

10.Indemnification

You will indemnify, defend, and hold harmless Company, its affiliates, resellers, employees and agents (the "Indemnified Parties") from and against all liabilities, damages, and costs (including reasonable attorneys' fees) arising out of any claim, demand, suit or proceeding by a third party alleging that your Content, User Data or your use of the Services (including via Connected Accounts, Third Party Services, and any User Model) infringes or misappropriates a third party’s intellectual property rights or violates applicable law or that your use of the Services is in violation of these Terms.

11.Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS", AND "AS AVAILABLE" BASIS, AND COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO RELIABILITY OF SERVICE, WARRANTIES OF NON-INFRINGEMENT OR IMPLIED WARRANTIES OF USE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE. WE DISCLAIM ALL LIABILITY AND ANY OBLIGATIONS FOR ANY HARM OR DAMAGE CAUSED BY ANY THIRD PARTY HOSTING PROVIDERS OR THIRD PARTY SERVICES.

OTHER THAN AS EXPRESSLY STATED IN THE TERMS WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, WITHOUT ERROR, OR FREE OF DEFECTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT OR RESULT GENERATED BY THE SERVICES OR ANY USER MODEL. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING OUTPUTS AND RESULTS BEFORE RELYING ON THEM. THE SERVICES UTILIZE ARTIFICIAL INTELLIGENCE THAT MAY PRODUCE UNPREDICTABLE, INACCURATE, OR UNINTENDED OUTPUTS AND ACTIONS. AI MODELS MAY MISINTERPRET INSTRUCTIONS, GENERATE PLAUSIBLE BUT INCORRECT INFORMATION, OR PERFORM UNEXPECTED ACTIONS. COMPANY MAKES NO WARRANTIES REGARDING AI-GENERATED OUTPUTS OR AGENT BEHAVIOR.

12.Limitation of Liability

IN NO EVENT WILL COMPANY BE LIABLE FOR (I) INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OR (II) LOSS OF PROFITS OR REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, IN EACH CASE ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL COMPANY’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR TO THE SERVICES EXCEED US$500.00. THESE LIMITATIONS WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

13.Term and Termination

These Terms commence on the date you first accept them and will remain in effect until these Terms are terminated. You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time at our discretion and without notice, including if You do not comply with these Terms, if we discontinue the Services, or if we believe Your use may create risk to Company, other users, or third parties. Upon termination, You will no longer be able to access the Services.

14.General

Governing Law and Jurisdiction. These Terms are governed by the laws of the state of Israel or New York, as applicable, excluding rules as to choice and conflicts of law and the courts in the state of New York or Israel, as applicable, will have jurisdiction. You and Company agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply.

Survival. The provisions of these Terms that, by their nature and content, must survive the termination of these Terms in order to achieve the fundamental purposes of these Terms shall so survive. Without limiting the generality of the foregoing, the Intellectual Property Rights, Use of Data, Disclaimers of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction and General sections, will survive the termination or expiration of the Terms.

Force Majeure. Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond Company's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or labor disputes, failure of Third Party Services (including third party AI providers, cloud hosting providers, or Connected Account services), network or infrastructure failures, power outages, or government restrictions. In such events, Company's performance shall be excused and the time for performance shall be extended for the period of delay or inability to perform due to such occurrence.

Export Restrictions. The Services may be subject to export laws and regulations of the United States and other jurisdictions. You will not permit Users to access or use the Services in any country which is subject to an embargo by the United States and shall not use the Services in violation of any other export restriction.

Changes to Terms. Company may change the Terms from time to time, and such change will become effective upon the date on which it is posted on the Platform website. You are responsible for checking the website regularly for such changes. By continuing to access or use the Services you agree to be bound by the revised Terms.

Severability. If any part of these Terms is deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the rest of these Terms and shall not affect the validity and enforceability of any of the remaining provisions of these Terms. In such cases, the part deemed invalid or unenforceable shall be construed in a manner consistent with applicable law to reflect, as closely as possible, the original intent of the parties.

Waiver. No waiver by us of a breach of any of the provisions of these Terms shall be construed as a waiver of any preceding or succeeding breach of any of the provisions of these Terms.

Relationship. Nothing in these Terms shall be construed as creating any agency, partnership, trust arrangement, fiduciary relationship or any other form of joint enterprise between you and Company.

Entire Agreement. These Terms contain the entire agreement between Company and You relating to your use of the Services and supersede any and all prior agreements between Company and You in relation to the same. You confirm that, in agreeing to accept these Terms, You have not relied on any representation except as has expressly been made by Company in these Terms.

Assignment. You may not assign your rights or delegate your obligations under these Terms without Company’s prior written consent. Any purported assignment contrary to this section will be null and void. Company may assign its obligations hereunder among the various Company entities within the Company group, by a change to the definition of Company hereunder which change will become effective upon posting on the Platform website.

No Third Party Rights. There are no third-party beneficiaries to these Terms. Without limiting this section, Users are not third-party beneficiaries to your rights under these Terms.
